Next Day Passport

Travel Agent Partner Terms

Version 1 · these terms apply to businesses approved to our travel agent referral programme.

1. Parties

These terms are between Next Day Passport Ltd ("we", "us") and the business that has applied to join our referral programme ("you", "the Partner").

They take effect from the date we confirm in writing that your application is approved and issue your referral code. An application does not create an agreement; approval does.

2. The arrangement

You introduce customers who need assistance with an urgent UK passport application. We contract with those customers directly, take payment from them, and provide the service. We pay you a fixed commission for each introduction that results in a qualifying completed application.

You act as an independent business introducing customers to us. You are not our agent, employee, partner in law or representative, and you have no authority to make commitments on our behalf, to offer terms other than our published terms, or to describe yourself as acting for Next Day Passport Ltd.

3. Your obligations

  1. Do not state or imply a guaranteed date. Appointment availability at HM Passport Office is outside our control. You must not tell a customer that an appointment, a date or a travel deadline is guaranteed.
  2. Do not represent that we have preferential access. We book through the same public appointment system available to any applicant. We have no privileged access to HM Passport Office, no reserved appointments, no priority handling, and no ability to vary government eligibility requirements.
  3. Do not collect or forward identity documents on our behalf. Please do not take copies of passports, birth certificates, photographs or other identity documents for us. Refer the customer and we will deal with them directly. Identity documents sent to us unrequested will be deleted.
  4. Quote only our published prices, and do not add any charge of your own to what the customer pays us.
  5. Do not bid on our brand terms in paid search, including "Next Day Passport" and close variants, without our written permission.
  6. Do not send marketing using our name, or imply that we endorse communications we have not seen.

4. The customer relationship

The customer contracts with us, pays us, and has the full benefit of our terms and their statutory rights, including their cancellation rights under the Consumer Contracts Regulations 2013.

5. Customer information

We are the controller for the personal data of customers who apply to us.

We will tell you the number of introductions recorded to your code, the reference for each, and what you have earned. We will not disclose customers' identities, contact details, documents or application contents to you.

Our privacy policy sets out how we handle customer information, including the circumstances in which we share it — for example with HM Passport Office in order to deliver the service, with couriers for return delivery, and with our professional advisers. If you need to query a specific introduction, quote its reference and we will tell you what we properly can.

6. How introductions are recorded

Your referral code is carried as follows. Please read this clause, because the method has limits.

  • Your link contains your code. As a customer moves through our website the code is added to the links they follow, and it is written into our enquiry and application forms so that it reaches us when they submit one.
  • The commission is earned by the first valid referral recorded against the enquiry. A referral is recorded at the point the customer submits an enquiry or application form carrying your code, or when a member of our staff records your introduction. We have no record of a customer clicking a link without going on to submit a form, so the order in which links were clicked is not something we can see or rely on.
  • Attribution is recorded on our server when the form is submitted, which is before payment. It therefore does not depend on the customer's payment or checkout journey.
  • We do not place cookies or other tracking on the customer's device. If a customer leaves our website and returns later by another route — a search engine, a bookmark, a different device — the code is not carried, and we will have no record that you introduced them.
  • For telephone bookings, and in any case where the code has not been carried, our staff record the introduction manually against your code.
  • Every recorded introduction is given a reference, which appears on your statement.
  • If you believe an introduction has been missed, tell us the date and any details you hold and we will check our records. Where two partners claim the same customer we will investigate and give you our conclusion with reasons. Our decision on attribution is final.

7. Commission

£50 for each qualifying completed application introduced by you.

  • Commission is payable per application, not per order or per booking. Three applications in one family booking, each completed and paid, earn three commissions. A single application earns one commission only.
  • £50 is the total amount payable for each qualifying completed application. Where you are registered for VAT, the £50 is inclusive of any VAT chargeable on the commission, and no additional amount is payable.
  • We may vary the commission rate for future introductions on 30 days' written notice. A variation does not affect an introduction already recorded; the rate is fixed at the point your introduction is recorded.

8. Statements and invoicing

  • We issue a monthly commission statement. It shows, for each line: the introduction reference, the date the introduction was recorded, the date the application completed, and the amount, with any reversals shown separately.
  • Please raise an invoice to match the statement. It should correspond to the statement total and quote the statement period. If you are registered for VAT, your invoice should show the VAT separately; as set out in clause 7 the £50 is inclusive of any VAT, so £50 remains the total sum we pay.
  • We do not operate self-billing and we do not issue invoices on your behalf. The statement is a statement of commission earned and a remittance advice; it is not a VAT invoice.
  • Payment is not held up by a missing invoice. Where you do not raise one, this agreement, the statement and our bank payment record together stand as the record of the payment.
  • Commission is paid gross and we make no deductions. You are responsible for your own tax affairs. Nothing in this agreement makes you an employee or worker of Next Day Passport Ltd.

9. When an application qualifies

Commission becomes payable when both of the following are true:

  1. the customer has paid for the service; and
  2. we have completed our service and closed the application in our case management system.

"Completed" means the same recorded event in this agreement and in our system. What that event is in practice depends on the service:

Service Our service is complete when
7-Day Fast Track (adult and child) We have attended the appointment and HM Passport Office has accepted the application. At that point our work is finished: HM Passport Office issues the passport and sends it directly to the customer, which is a government process and outside our control. Commission becomes payable at this point, not when the passport arrives.
2-Day Premium We have collected the passport from HM Passport Office and returned it to the customer.

The two conditions in this clause may be satisfied in either order; commission is raised when the second one is met. Your statement is produced from that same recorded event, so the status in our system and the figure on your statement cannot disagree.

10. When commission is not payable

No commission is due where:

  • the application is cancelled or withdrawn and our service is not completed;
  • the customer does not pay, or payment is reversed or charged back;
  • the customer's payment for the application is refunded in full;
  • the customer proves not to be eligible and we do not proceed;
  • the introduction was not in fact yours;
  • the referral was for yourself, your own staff, or an application arranged in order to generate commission;
  • you have breached clause 3 in a manner affecting that customer.

A partial refund does not reduce or cancel your commission, provided our service was completed. A goodwill gesture, a refund of postage, or a part refund because the customer moved to a different service does not affect what you are owed.

Where commission has already been paid and the payment for that application is subsequently refunded in full or charged back, the amount is reversed and set off against your next payment. If no further payment is due, we may ask you to repay it.

11. Payment

  • We pay monthly by bank transfer to the Partner business.
  • Commission is paid to the agency or partner business, not to individual members of its staff. Any arrangement to pass commission to a member of staff personally is a matter between you and them.
  • We will arrange your payout details after approval, through a secure method agreed with you. Please do not send bank details by email; we will not ask you to.
  • There is no minimum payout threshold. We will give notice before introducing one.
  • Payments are made in pounds sterling to a UK bank account.

12. Data protection

  • Each of us is an independent controller for our own purposes. You are not our processor and we are not yours.
  • The information you provide about your business and its contact people is used to assess your application, operate your partner account, make payment, and meet our record-keeping obligations. We retain it for the duration of the agreement and for six years afterwards for tax and accounting purposes.
  • Where you communicate with a customer about us, you are responsible for having your own lawful basis for that communication.
  • Our privacy policy explains how we handle information.

13. Non-exclusivity

This arrangement is non-exclusive in both directions. You may work with other providers, and we work with other partners and continue our own marketing. There is no joining fee, no subscription, no minimum number of referrals and no targets.

14. Suspension

We may suspend your code where we reasonably believe that clause 3 has been breached, that a customer has been misled, or that there has been fraud. Suspension holds any outstanding commission while we investigate; it does not cancel it. We will tell you the reason and give you an opportunity to respond.

We may cancel outstanding commission where we conclude that it arose from misleading a customer or from fraud. We will give our reasons in writing.

15. Ending the agreement

  • Either party may end this agreement at any time by written notice.
  • Ending the agreement does not affect commission on any introduction recorded before it ended. Where a customer you introduced before termination goes on to complete and pay afterwards, that commission remains due and is paid in the normal monthly cycle.
  • Clauses 5, 7, 8, 10, 11 and 16 continue to apply in respect of introductions recorded before termination.

16. Liability and indemnity

  • We are responsible to the customer for the service we provide to them.
  • You are responsible for statements you make to customers about us. Where a customer suffers loss because you represented something prohibited by clause 3, you agree to indemnify us against claims arising from that representation.
  • Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.
  • Other than commission properly due, our total liability to you under this agreement is limited to £500.

17. General

  • We may vary these terms on 30 days' written notice. Continuing to refer customers after that period constitutes acceptance. Commission already earned is not affected.
  • You may not assign this agreement without our written consent.
  • These terms are the entire agreement between us in relation to the referral programme.
  • Governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
